Scope of Service: On-site support visits cover fault diagnosis and device condition assessment only. Asterion Technologies does not provide installation, configuration, integration, or commissioning services. These remain the responsibility of the client or their appointed systems integrator.

Chargeable Service: On-site support visits are a chargeable service. A formal quotation will be prepared and sent to your email address before any technician is dispatched. Work will only proceed once the quotation has been formally accepted.

No Guarantee of Outcome: Whilst Asterion Technologies and its technicians will apply all reasonable skill and effort to diagnose the reported fault, neither Asterion Technologies nor Aratek Biometrics Co. Ltd. warrants, guarantees, or represents that a beneficial outcome or resolution will be achieved on every on-site visit. Technical issues may have root causes beyond the device itself, including infrastructure, cabling, power supply, software environment, or third-party system incompatibilities — none of which are within the control of Asterion Technologies. Installation, integration, and configuration are not within scope of the on-site support service.

Travel & Accommodation: Travel costs, accommodation, and subsistence will be included in the quotation where applicable. Out-of-area visits outside Gauteng may incur additional charges.

Client Responsibility: The client is responsible for ensuring that the relevant devices, access credentials, infrastructure, and technical personnel are available on-site at the agreed time.

Preamble & B2B DeclarationB2B

These Terms and Conditions apply exclusively to business-to-business (B2B) transactions. The Client warrants that it is not a consumer as defined in section 5 of the Consumer Protection Act 68 of 2008 and that the Consumer Protection Act shall have no application whatsoever to any transaction concluded under these Terms and Conditions.

1. DefinitionsLEGAL

1.1 “Asterion” means Asterion Technologies CC.
1.2 “Client” means the purchaser, reseller, distributor, installer or corporate end-user.
1.3 “Goods” means all hardware, devices, software licences, accessories and related items supplied by Asterion.

2. Orders and AcceptanceORDERS

2.1 No order is binding until confirmed in writing by Asterion or until goods are dispatched.
2.2 All orders must be accompanied by an official purchase order bearing a valid PO number.
2.3 Asterion may refuse any order without furnishing reasons.
2.4 Acceptance by Conduct: The Client’s act of placing any purchase order (whether verbal, written, electronic, or via email, WhatsApp, or Asterion’s online portal), making any payment, or instructing Asterion to proceed with supply, shall constitute irrevocable acceptance of these Terms and Conditions in their entirety. No further signature or document is required to bind the Client.

3. Pricing and QuotationsPRICING

3.1 Prices are valid for 7 calendar days from the quotation date unless otherwise stated.
3.2 Prices are subject to change without notice due to exchange-rate fluctuations, manufacturer increases or errors & omissions (E&OE).

4. Payment TermsPAYMENT

4.1 Unless credit facilities have been expressly granted in writing, payment terms are strictly Cash Before Delivery (C.O.D.).
4.2 Credit facilities, if granted after a minimum of six (6) months of uninterrupted trading with no payment defaults, require a minimum 50% deposit on order placement and the balance strictly within 30 days of invoice.
4.3 Overdue amounts bear interest at the prime overdraft rate plus 2% per month from the due date until the date of payment.
4.4 Ownership of all Goods (whether installed or not) remains vested in Asterion until paid for in full.

5. Delivery, Risk and AcceptanceDELIVERY

5.1 Delivery dates are estimates only and not binding.
5.2 Risk passes to the Client on delivery or collection.
5.3 All deliveries must be acknowledged by signature and date on the delivery note. Where no delivery note is signed (e.g. urgent or drop-off deliveries), the Client accepts full responsibility and waives any claim for shortage, loss or damage.

6. Returns and RepairsRETURNS

6.1 Goods correctly supplied will not be accepted for return, refund, exchange or credit.
6.2 Returns of unopened, unused goods may be accepted at Asterion’s sole discretion, subject to a minimum 15% handling/restocking fee.
6.3 Devices returned for testing or repair (out of warranty) attract a diagnostic fee of R450.00 (excl. VAT) and a turnaround time of 7–14 working days. Repairs proceed only on written acceptance of quotation. Asterion may refuse any repair request.

7. Warranty and ExclusionsWARRANTY

7.1 Warranty is limited to the original manufacturer’s warranty and is only activated once the Goods are paid for in full.
7.2 No warranty claim will be honoured where failure is caused by:
(a) Improper or incorrect installation.
(b) Use of incorrect or incompatible power supply units.
(c) Existing or old cabling/infrastructure in retrofit installations.
(d) Surge, lightning or any electrical damage.
(e) Network or site infrastructure instability or incompatibility.
(f) Third-party integrations, cloud servers or connectivity interruptions.
7.3 Asterion/Aratek provides no performance guarantee when Goods are used with third-party systems or cloud services.

8. Installation Competence and IndemnityINSTALL

8.1 The Client warrants that it (or its appointed installer) possesses the necessary skills, knowledge and experience in electronic access control, networking and low-voltage regulations.
8.2 The Client indemnifies Asterion and its suppliers against any claims, damages or liability arising from improper installation, operation or failure to follow Asterion’s guidelines.

9. Remote Deactivation / DecommissioningDEACTIVATION

9.1 Asterion reserves the right, after seven (7) calendar days’ written notice (except in cases of proven fraud or illegal use), to remotely deactivate or decommission any device or software for non-payment or material breach of these Terms. Such action will be limited to the affected sites/projects.

10. Performance DependenciesPERFORMANCE

10.1 Optimal device performance requires adequate lighting and enrolment photographs meeting manufacturer specifications. Reducing performance settings to compensate for poor site conditions is not supported and voids the warranty.

11. ITAC / SARS Import ComplianceCOMPLIANCE

11.1 Certain Goods are subject to ITAC import permits and SARS regulations.
11.2 The Client indemnifies Asterion against any fines, penalties, detention costs or additional duties arising from incorrect declarations, quantity mismatches or non-compliance with permit conditions by the Client or its agents.

12. Force MajeureFORCE MAJEURE

12.1 Asterion shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including (but not limited to) load-shedding beyond Stage 6, acts of government, road closures, national key-point events, strikes, riots, war, flood, fire or pandemic.

13. ConfidentialityCONFIDENTIAL

13.1 All technical documentation, pricing, designs and know-how remain Asterion’s property. Unauthorised disclosure attracts liquidated damages of 30% of the relevant contract value.

14. Data Protection (POPIA)POPIA

14.1 The Client warrants that all personal and special personal information supplied to Asterion has been lawfully collected and may be lawfully processed. The Client indemnifies Asterion against any POPIA-related claims.

15. Limitation of Liability and IndemnityLIABILITY

15.1 Asterion’s total liability shall not exceed the invoice value of the Goods in question.
15.2 Asterion shall under no circumstances be liable for consequential, indirect or special damages.

16. Domicilium Citandi et Executandi and NoticesNOTICES

16.1 The parties choose the following addresses for all legal notices:

Client: Physical and email address as reflected on the latest purchase order/credit application.
16.2 Any notice sent by prepaid registered post or email shall be deemed received 5 (five) business days (post) or on the day of transmission (email).

17. Whole Agreement, Non-Variation and SeverabilityWHOLE AGREEMENT

17.1 This document constitutes the whole agreement between the parties.
17.2 No variation, addition or consensual cancellation is valid unless reduced to writing and signed by a director of Asterion.
17.3 If any provision is found to be invalid, the remaining provisions remain fully enforceable.

18. Operating HoursHOURS

18.1 Monday–Thursday 08:00–16:30, Friday 08:00–16:00. Closed weekends and public holidays. No after-hours support is provided.

19. Governing Law and JurisdictionJURISDICTION

19.1 South African law governs this agreement.
19.2 The Client consents to the jurisdiction of the Magistrate’s Court in terms of section 45 of the Magistrates’ Courts Act 32 of 1944, notwithstanding that the amount in dispute may exceed the monetary jurisdiction of that court.
